The present invention provides a composite compatibilizer for wood-plastic materials and a preparation process thereof, belonging to the field of polymer chemistry. The process comprises: swelling polyolefin with xylene solvent; mixing 120–150 parts of polyolefin, 9–17 parts of functional monomers, 2–3 parts of solvent, 0.1–0.5 parts of initiator, 1–2 parts of processing aids and 3–5 parts of additives, feeding the mixture into a twin-screw extruder via side feeding, applying ultrasonic treatment, and conducting melt grafting, extrusion and pelletizing to obtain the composite compatibilizer. The present invention adopts maleic anhydride and divinylbenzene for melt co-graft modification of polypropylene. In the co-graft reaction system, divinylbenzene grafts before scission of polypropylene macromolecular chain free radicals and stabilizes the free radicals, further inducing copolymerization grafting and coupling chain extension to inhibit polypropylene degradation, while promoting copolymerization grafting and branching of maleic anhydride, thus increasing the grafting ratio of maleic anhydride.
